Acceptance of Terms of Use Overview

The following terms and conditions, together with any referenced documents (collectively, the "Terms of Use") are a legal agreement between you, your employees, agents, contractors, and any other entity on whose behalf you accept these Terms (collectively, "you" and "your"), and AgenticAnts, Inc. ("AgenticAnts," "we," "us," and "our"). Except as otherwise provided herein, these Terms of Use apply to AgenticAnts' public websites, including without limitation agenticants.ai and any related public subdomains or pages (collectively, the "Website").

These Terms of Use form a binding contract between you and us when accepted by you. You accept these Terms of Use by accessing or using the Website. If you do not agree to these Terms of Use, you may not use the Website.

This Website is offered and available only to users 18 years of age or older. The individual accepting these Terms of Use represents that he or she is of legal age to form a binding contract with us and, to the extent accepting these Terms on behalf of an entity, has authority to represent and bind that entity. If you do not meet all these requirements, you must not access or use the Website.

We may revise and update these Terms of Use from time to time in our sole discretion. You are expected to check this page periodically to take notice of any changes, as they are binding on you. All material changes apply prospectively only. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes.

If you choose, or you are provided with, a username, password, API token, access key, or other credential as part of our security procedures, you must treat such information as confidential and must not disclose it to any third party.

You agree that you are solely responsible for all activities conducted through your account. You agree to immediately notify AgenticAnts of any unauthorized use of your credentials or any other breach of security. AgenticAnts has the right to disable any username, password, or credentials at any time for any reason, including if, in our sole discretion, we believe you have failed to comply with any provision of these Terms of Use.

AgenticAnts Products and Services

The Website does not include the AgenticAnts enterprise products or services (including the AgenticAnts AI Governance & Observability platform, dashboards, APIs, integrations, or hosted services) (collectively, the "Platform"), and these Terms of Use do not govern the use or provision of any AgenticAnts Platform features, whether on a free, trial, beta, or paid basis.

If you initiate trials or access Platform functionality through the Website, such access is governed by separate terms (including any subscription agreement, order form, or platform terms) provided to you in connection with the Platform (collectively, the "Platform Terms"), not these Terms of Use.

Use of the Website

Posting and User Content

You and other third-party users may be permitted to post, submit, contribute, publish, display, make available, or transmit to others (collectively, "post") information, data, or other content through the Website, including without limitation forms, comments, support requests, files, code snippets, API keys, URLs, scripts, webhooks, or other materials (collectively, "User Content").

Unless otherwise expressly provided, User Content is considered non-confidential and non-proprietary. You hereby grant to AgenticAnts a perpetual, irrevocable, royalty-free, fully paid, sublicensable, transferable, non-exclusive, worldwide license to copy, distribute, modify, make derivative works of, publicly display, publicly perform, make, use, translate, and disclose to third parties any User Content you post for any purpose.

We are under no obligation to post or use any User Content and reserve the right to edit or remove User Content in our sole discretion. You remain wholly responsible for all User Content you submit and any consequences thereof. AgenticAnts shall have no liability for User Content or its use by you or any third party.

You represent and warrant that you own, or have the necessary rights and permissions to use, the User Content you submit for the purpose for which you submit it.

Linking to the Website

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage, or take advantage of, our reputation. You must not establish a link in a manner suggesting any association, approval, or endorsement by AgenticAnts where none exists.

You may not link to any other page of the Website without our express written permission. We reserve the right to withdraw linking permission without notice. You must not establish a link from any website you do not own or control. You agree to cooperate with us in stopping any unauthorized framing or linking.

Acceptable Use

You agree to comply with the following code of conduct in your use of the Website:

  • Respect your audience. Posts should not upset, annoy, threaten, harass, abuse, or embarrass other users.

  • That may have a detrimental effect on the Website's function, user interaction, or security, including unauthorized security testing, scanning, probing, or penetration testing without express written authorization.

You are permitted to use the Website only for legitimate business purposes related to your role as a current or prospective customer, developer, partner, supplier, or distributor. You shall not copy, modify, create derivative works of, publicly display, republish, download, store, or transmit Website content without AgenticAnts' express prior written consent except as expressly permitted by these Terms of Use.

No rights are granted to you with respect to any content beyond a limited, personal, non-exclusive license to reproduce content as necessary to display the content on the device you use to interact with the Website.

Trademarks

The Website includes marks and trademarks that belong to us, including without limitation AgenticAnts, the AgenticAnts logo, and other AgenticAnts marks. Other names, logos, and product names may be trademarks of their respective owners.

Restrictions

There are no implied licenses under these Terms of Use. AgenticAnts reserves all rights not expressly granted.

Monitoring, Enforcement, and Feedback

AgenticAnts may:

  • Remove or refuse to post User Content and/or terminate your access for any reason or no reason, including for violations of these Terms of Use or the Privacy Policy.
  • Disclose your identity to a third party who claims your posted material violates their rights.
  • Take appropriate legal action, including referral to law enforcement, for illegal or unauthorized use.

Feedback & Suggestions

You grant AgenticAnts a perpetual, irrevocable, royalty-free, fully paid, sublicensable, transferable, non-exclusive, worldwide license to make, use, sell, offer for sale, import, or otherwise use and commercially exploit for any purpose any feedback, comments, suggestions, communications, or requests for improvements relating to the Website or the Platform.

Legal Considerations

AI Governance and Compliance Disclaimer

AgenticAnts provides monitoring, governance, and observability capabilities intended to support customer oversight of AI systems. AgenticAnts does not operate customer AI systems, does not make decisions on behalf of customers, and does not guarantee compliance outcomes. Customers are solely responsible for the design, deployment, and operation of their AI systems and for compliance with applicable laws (including, without limitation, EU AI Act, GDPR, and other regulations).

Disclaimer of Warranties

YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGENTICANTS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS.

Regional Legal Considerations; Export Restrictions

AgenticAnts is based in California, United States. The Website may be accessed from jurisdictions worldwide. Access may not be legal by certain persons or in certain jurisdictions. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

You may not access, download, use, or export any Website materials in violation of U.S. export laws or regulations or other applicable export/import laws. Governing Law and Jurisdiction

These Terms of Use and any dispute arising out of or related to them shall be governed by the internal laws of the State of California, without giving effect to conflict of laws rules.

The sole and exclusive jurisdiction and venue for actions arising under these Terms shall be the state and federal courts located in Alameda County, California, and the parties consent to personal jurisdiction therein.

Entire Agreement

These Terms of Use and the Privacy Policy constitute the sole and entire agreement between you and AgenticAnts with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties with respect to the Website.

For avoidance of doubt, these Terms of Use do not supersede any Platform Terms governing the AgenticAnts Platform or any separate agreement under which you have rights to access or use AgenticAnts products or services.
